Foundation Statute
Clause 1 - Constitution
A foundation called “Siav Academy” is hereby created. The Foundation is non-profit making, and is ruled, subject to any and all applicable laws, by the clauses of this Statute.Clause 2 – Registered Office
The Foundation has its registered office in via Porciglia 14, Padova (Padua). The Foundation, at the decision of the Board of Directors, has the right to create subsidiary offices, delegations, and other offices in Italy and elsewhere in the world to guarantee the achievement of its statutory objectives.Clause 3 - Duration
The duration of the Foundation is unlimited.Clause 4 - Purpose
The foundation exists exclusively to promote activities for the benefit of the public, in particular:- the increase of well-being and the organizational and cultural development of society thanks to the innovative use of new technology in the IT sector;
- the development of technological and scientific innovation in the IT sector, in particular involving the identification and implementation of innovative procedures, and the enhancement of the competitiveness of Italy, sustaining institutions and enterprises, both public and private;
- the promotion of activities, studies, research and training in the areas of research and technological and scientific innovation in the IT sector, stimulating a qualified and constructive debate at national and international level;
- the preservation, protection, fruition, diffusion and publication of the cultural, historical and artistic heritage through the innovative use of IT technology, also supporting the activities of the Ministry for Public Assets and Cultural Activities (Beni e Attività Culturali) and the other public bodies for the enhancement and care of public assets, according to the Legislative Decree # 42/2004 ("The Law With Respect to Cultural Assets and the Countryside").
At an operational level the pursuance of its institutional objectives is implemented prevalently, but not exhaustively, via:
- the implementation, within the scope of the interests and responsibilities of the Foundation, of research and development activities for technological and scientific innovation in the IT sector and the implementation of preservation, protection, enhancement, fruition, diffusion and publication of the historic, cultural and artistic heritage via the innovative use of IT, both directly and indirectly, and including the creation of work groups, centers and specialized laboratories where experts and researchers can compare notes, follow up ideas and spread shared knowledge;
- the organization and promotion of congresses, courses, meetings, seminars, static and mobile exhibitions and scientific and cultural events for the training, development and diffusion of the knowledge within the scope of the interests and responsibilities of the Foundation, both directly and indirectly;
- the creation and promotion of publication initiatives within the scope of the interests and responsibilities of the Foundation, in any format, both directly and indirectly, within the limits defined in the National Law #416 of August 5, 1981 and its successive modifications;
- the promotion of agreements for the development of the initiatives and research described above with institutes, associations, universities, scientific, cultural and educational bodies, bodies that manage artistic and historic assets, foundations and research centers, national and international business partners; and the implementation of activities for the coordination, promotion, updating, support, development and incentivizing of the aforesaid initiatives and research;
- the granting to deserving persons of subsidies, prizes and bursaries, by the financing and co-financing of doctorates and research grants or other similar initiatives, to institutes, associations, universities, scientific, cultural and educational bodies, bodies that manage artistic and historic assets, foundations and research centers, national and international business partners, with reference to the projects and initiatives within the scope of the interests and responsibilities of the Foundation; for the supply of the said subsidies, prizes and bursaries and research grants, the Board of Directors will prepare a specific set of rules, taking into consideration the opinion of the Scientific Committee, further specifying the modality and conditions for participation and judging, keeping in mind one or more of the following requirements: school certificates, academic and professional qualifications, scientific qualifications, research work already carried out or in prospect, economic conditions.
Further, in particular cases, the Foundation can perform any operations or initiatives needed, or simply useful, for the achievement of its institutional objectives. In particular, it can acquire shares in bodies having similar or analogous objectives to those of the Foundation and perform other financial operations not related to the general public.
